Assessed case by case

A project in Bulgaria?

Bulgaria isn't yet part of our established network of local contacts. We assess every project case by case, though, and can bring in a trusted local partner (lawyer, accountant) if needed to create and direct your structure.

How long does it take to open your company?

The path to creating a OOD in Bulgaria, step by step

These timelines assume a complete file (ID documents, supporting evidence, governance decisions made): an incomplete file is the single most common cause of delay, ahead of the administrative timelines themselves. Once the file is genuinely complete, expect generally 2 days for the legal process itself.

Minimum share capital: €1.

1 week

Project scoping & complete file

Gathering ID documents, mandate, governance decisions and choice of bank — the essential groundwork for the legal timelines below to actually start running.

Before registration

Payment account

A payment account must be opened to deposit the capital; the minimum capital for an OOD is just €1.

For the director

Notarial legalisation of the signature

The director's specimen signature requires notarial legalisation, which can be done at the Bulgarian embassy/consulate or before a notary abroad (with apostille and translation) for a foreign director.

2 days

Commercial register filing

Standard registration timeframe once the file is complete.

Variable

Bank account for a foreigner

When the owner is foreign, the bank must register them as a new client and run AML compliance checks before opening the account.

1 week

Safety margin — opening the bank account

On top of the legal timelines above, allow one week of banking margin: KYC checks, extra documentation or a branch appointment can extend account opening, particularly for a non-resident director.

Is a visa required?

Not required for incorporation alone, even for a non-EU national. A residence permit becomes necessary only when relocating to Bulgaria to run the business on-site.
